Purpose
This Website Design Services Agreement sets out the terms under which Walk-In Websites provides website design and development services to the Client. It should be read together with the Website Design & Digital Services Agreement, which forms part of this Agreement.
Scope of Services
Services may include consultation, website planning, custom design, development, responsive optimisation, contact forms, basic on-page SEO configuration, launch assistance and website handover. Any services not expressly included in the accepted quotation are excluded unless agreed in writing.
Project Commencement
Work will not commence until the quotation has been accepted and payment has been received in full. Project commencement dates are estimates only and may vary depending on workload and the Client's responsiveness.
Client Responsibilities
The Client agrees to provide all required content, branding, logos, images, approvals and other information required to complete the Project. Delays in supplying information may extend delivery timeframes.
Project Timeline
Delivery estimates are provided in good faith. Timeframes depend on timely feedback and approvals from the Client. Walk-In Websites is not responsible for delays caused by the Client or third-party providers.
Revisions
The agreed project fee includes five (5) rounds of revisions. Additional revisions, changes in project scope or redesign requests may incur additional fees.
Client Approval
The Client is responsible for reviewing and approving all website content, imagery, layout and functionality before the website is published. Once approval has been provided, Walk-In Websites is not responsible for errors or omissions that were reasonably identifiable during the approval process.
Intellectual Property
Ownership of the completed website transfers to the Client only after all invoices have been paid in full. Walk-In Websites retains ownership of its templates, reusable code, workflows, internal systems, know-how and pre-existing intellectual property.
Domain Names and Hosting
The Client owns their domain name. The Client may choose to host their website with Walk-In Websites or another provider. Upon request and subject to payment of all outstanding amounts, Walk-In Websites will provide a reasonable website handover.
Third-Party Services
The website may rely on third-party services including hosting providers, domain registrars, payment gateways, Google services, Cloudflare, Vercel, Stripe, Calendly and other external software. Walk-In Websites is not responsible for the availability, performance or policies of these providers.
Warranty Disclaimer
Walk-In Websites does not guarantee search engine rankings, increased website traffic, business growth, uninterrupted availability or compatibility with future third-party software. Services are provided using reasonable care and skill, subject to rights that cannot be excluded under Australian Consumer Law.
Limitation of Liability
To the maximum extent permitted by law, Walk-In Websites excludes liability for indirect, special and consequential loss, including loss of profits, revenue, goodwill, business interruption, data or opportunity. Liability is limited to the amount paid by the Client for the relevant services.
Termination
Walk-In Websites may suspend or terminate the Project where the Client fails to comply with this Agreement, including non-payment or prolonged inactivity. Outstanding fees remain payable.
Governing Law
This Agreement is governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland.
